Artist(s) - for ACE, this mean all types of talent ("Talent"), not just ‘recording artists’, painters, or ‘artists’ in the causal sense; it includes athlete and gamers, too; we refer to all artists as Talent

Community Support - term for mobilizing crowd-investment from fans and followers to support Talent

Company Location(s) - HQ in Oakland, California, USA; East Africa subsidiary in Nairobi, KE; other subsidiary locations TBD

Decentralized / Distributed Ledger - ACE keeps a ledger of transactions and contracts maintained in decentralized form across different locations, eliminating the need for a central authority to keep a check against manipulation

Digital Assets - ACE digital assets are the digital representation of financial assets, which are shares or SAFEs of the Talent Limited Company. Digital assets are not tangible, meaning they have no physical presence. They are files that reside on computers or a cloud-based storage network. The Decentralized / Distributed Ledger keeps track of who owns which digital assets.

Economic & Socio-Demographic Barriers - the personal net worth and income thresholds that traditionally have prevented the majority of the population to participate in unsecuritized, non regulated investments such as private equity or ‘off market’ investments; Compared to publicly traded or publicly-available investments, these opportunities typically represent stronger, greater returns; The Jumpstart Our Business Startups (JOBS) Act created an exemption under the US federal securities laws so that crowdfunding can be used to offer and sell securities to the general public.

Empowering the Community - ACE provides a way for the community to financially participate in the entertainment sector, whereas the Community is currently only a ‘Consumer’ of this sector;

Gamers - Gamers are those who play video games to earn income. There are two types: competitive and streaming. Competitive gamers compete against other gamers to receive winnings. Streamers broadcast their video games on platforms like Twitch or Youtube in order to get income via watcher subscriptions or gifts.

Financial Assets - A financial asset is a liquid asset that gets its value from a contractual right or ownership claim. ACE investors purchase tokens that represent the shares of a Talent Limited Company. These tokens, along with cash, stocks, bonds, mutual funds, and bank deposits are all are examples of financial assets; unlike land, property, commodities, or other tangible physical assets, financial assets do not necessarily have inherent physical worth or even a physical form; ACE works with financial

Financial Returns - those participating on the ACE platform can earn reuters in two ways from capital gains 1) from buying tokens at a lower value, then selling the tokens to another investor at a higher value on the secondary exchange; or 2) via buyback from the Talent at a higher price than bought.

Fintech - financial technology, computer programs and other technology used to support or enable banking and financial services.

Fractional Assets - the practice of purchasing only the portion of any asset based on how much you are able to invest; through fractional investing, people purchase any fraction of the current value.

Gamma Testing - Gamma testing is the final stage of the testing process conducted before software release. It makes sure that the product is ready for market release according to all the specified requirements. Gamma testing focuses on software security and functionality. But it does not include any in-house QA activities.

Inclusive - the ACE platform is designed to be fully inclusive, particularly in regards to income level and education level, meaning the investment mechanism has been designed to allow those with $1 to participate, and the user experience to be intuitive and straightforward

Independence - financial support from the community to Talent will allow freedom of choice and strategy when deciding how best to further their career; this is both in terms of growth finance as the Talent grows as well as an alternative to traditional options upon success (such as signing to a major record company)

Investors - purchasers and traders of tokens on the ACE platform

Platform - the digital exchange itself

Platform, Primary - the virtual first offering and first purchase of the tokens

Platform, Secondary - the platform and ‘market’ where owners of tokens sell to other buyers of tokens

Professional Sports - traditional athletics and sports, other than streaming or competitive eSports

Real Assets - A real asset is a tangible investment that has an intrinsic value due to its substance and physical properties. Commodities, real estate, equipment, and natural resources are all types of real assets.

SAFE - a Simple Agreement for Future Equity, or "SAFE", is an agreement to provide an equity stake to an investor, based on the amount invested at the point of purchase of the SAFE, if and when a triggering event occurs, such as an additional round of financing, the sale of the company, or period of time has passed.

For ACE, the SAFE for an investment in to a Talent Limited Company shall convert in 1-year or less to equity, with a fair market valuation of the Talent Limited Company at the time of conversion.

Secondary Market - the sale of tokens from one investor to another, after the initial sale of the token by the Talent Limited Company; the secondary market takes place on ACE’s secondary ‘platform’.

Smart Contracts - a self-executing contract with the terms of the agreement between buyer and seller being directly written into lines of code; the code and the agreements contained therein exist across a distributed, decentralized blockchain network. ACE transactions between the Talent Limited Company, buyers, and sellers with regards to tokens representative of Talent Limited Company shares are executed via smart contract.

Talent - Talent is a word we use for those able to participate on ACE to get investment. This includes: musicians, athletes, eSports gamers, fashion models & designers, actors, comedians and other visual artists, social media influencers, and 'creators' in general. All Talent must have original work that they own. ACE reserves the right allow or disallow anyone to be listed as a Talent for investment.

Tokens - ACE Tokens are a digital representation of financial assets; either 1) the simple agreement for future equity (SAFE) of a Talent Limited Company, or 2) the actual equity of the Talent Limited Company.
